Beholder Teaser Easter Hunt – Official Rules

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND, WHERE APPLICABLE, THE KRAKEN.COM TERMS OF SERVICE, WHICH FORM A CONTRACT. READ THEM CAREFULLY BEFORE PARTICIPATING.

1. Sponsor

This promotion (the "Promotion") is sponsored by Payward Wallet LLC, known as Kraken ("Kraken" or "Sponsor").

2. Eligible Areas

Open to eligible Kraken customers who receive communications inviting them to opt in to this promotion. Not available in certain jurisdictions, including the United Kingdom, and anywhere prohibited by law.

3. Promotion Period

The Promotion is expected to begin on or about January 15, 2026, and end on or about February 15, 2026, unless terminated earlier once all rewards have been claimed, as determined by Sponsor in its sole discretion (the "Promotion Period").

4. How to Participate

To participate, individuals must successfully complete the Beholder teaser easter hunt challenge as described in the applicable promotional materials. No Kraken account, purchase, payment, or trading activity is required.

5. Reward

The first one hundred (100) eligible participants to successfully complete the challenge will each receive 100 USDC (the "Reward").

Approximate Retail Value (ARV): 100 USDC per Reward.
Limit one (1) Reward per person.
Rewards are non-transferable, non-exchangeable, and may not be redeemed for cash.
Kraken reserves the right to substitute a reward of equal or greater value if necessary.

6. Eligibility

You are eligible to participate if, at the time of participation, you:

Reside in an Eligible Area;
Are at least the age of majority in your jurisdiction.

7. Disqualification

Kraken reserves the right to disqualify any participant if it determines, in its sole discretion, that the participant has:

Violated these Rules;
Engaged in fraudulent, abusive, or manipulative conduct;
Attempted to circumvent participation limits or fairness controls.

8. Notification & Distribution

Rewards will be distributed to eligible participants as described in the Promotion materials, subject to verification of eligibility and compliance with these Rules. Kraken may request additional information prior to issuing a Reward.

9. Consents and Privacy

By participating, you consent to Kraken's collection and use of personal information for administration of the Promotion and compliance with applicable laws. Personal data will be processed in accordance with Kraken's Privacy Policy: https://kraken.com/legal/privacy

10. Disclaimers

Kraken is not responsible for technical failures, interruptions, delays, or errors of any kind, including those affecting participation or Reward distribution, whether caused by equipment failure, network issues, or events beyond Kraken's reasonable control.

11. Limitation of Liability, Disputes, and Governing Law

By participating in the Promotion, you agree to release and hold harmless Kraken, Payward Inc., and their affiliates, officers, employees, and agents (collectively, "Kraken Related Parties") from any claims, losses, damages, liabilities, or expenses arising out of or relating to your participation in the Promotion or receipt or use of any Reward, to the maximum extent permitted by law.

TO THE EXTENT PERMITTED BY APPLICABLE LAW:

Any and all disputes, claims, and causes of action arising out of or connected with the Promotion shall be resolved individually, without resort to any form of class action;
Any and all claims, judgments, and awards shall be limited to actual, third-party, out-of-pocket costs incurred, not to exceed US $25.00;
Under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to seek, punitive, incidental, consequential, or special damages, lost profits, or any other damages beyond actual out-of-pocket expenses not exceeding US $25.00; and
Your remedies are limited to a claim for money damages (if any), and you irrevocably waive any right to seek injunctive or equitable relief.

Any dispute arising under or related hereto (whether for breach of contract, tortious conduct, or otherwise) shall be governed by the laws of England and Wales, without regard to conflict-of-law principles. By participating in this Promotion, you agree that any dispute arising from or relating to this Promotion shall be determined by confidential, binding arbitration in London, England, under the LCIA Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. Kraken may seek equitable relief in any such court.

If any provision of these Rules is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that these Rules otherwise remain in full force and effect.

12. General Rules

Kraken reserves the right to modify, suspend, or cancel the Promotion at any time. Failure to enforce any provision of these Rules shall not constitute a waiver. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
